1. Introduction

Welcome to CPA Review PH ("Platform", "Service", "we", "us", or "our"), accessible at cpareviewph.com. This Platform is operated by 1Punch Inc., with technical platform development and hosting services provided by IOL Inc.

By accessing or using our Platform, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Service.

2. Definitions

• "User" refers to any individual who creates an account or uses the Platform.
• "Account" refers to the registered user profile on our Platform.
• "Subscription" refers to paid or free access to Platform features for specific CPA subjects.
• "CPA Board Exam" refers to the Certified Public Accountant Licensure Examination administered by the Professional Regulation Commission (PRC).
• "Content" refers to study materials, practice questions, mock exams, and other educational resources.

3. Account Registration and Security

3.1 Account Creation

To access our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Sharing Prohibition

IMPORTANT: Account sharing is strictly prohibited. Each account is licensed for use by a single individual only. You may not share your login credentials, allow others to access your account, or use the same account from multiple locations simultaneously.

Our Platform employs device verification and session management systems to detect and prevent account sharing. We limit concurrent sessions to two (2) devices per account. Violations of this policy may result in:

• Immediate account suspension or termination
• Forfeiture of any remaining subscription period without refund
• Disqualification from referral program benefits
• Potential legal action for breach of these Terms

New device logins require verification through a one-time password (OTP) sent to your registered email address.

4. Services Provided

4.1 Study Platform

We provide AI-powered study tools including:

• AI Tutor powered by Claude AI for personalized learning assistance
• Practice questions and mock examinations for CPA board exam subjects
• Study materials and educational content for all 6 CPA subjects (FAR, AFAR, MAS, Auditing, Taxation, RFBT)
• Progress tracking and performance analytics
• AI-generated study plans (for Premium subscribers)

4.2 Supplementary Review Service

This Platform provides supplementary review materials for the CPA Licensure Examination. Registration for the actual board exam is handled directly through the Professional Regulation Commission (PRC). We are not affiliated with or endorsed by the PRC.

5. Subscription Tiers and Access

5.1 Free Trial

New users receive a 7-day free trial with access to selected subjects and features. Free tier access includes limited AI tutor interactions and access to practice materials.

5.2 Paid Subscriptions

Paid subscriptions provide enhanced access including higher rate limits for AI features, full practice question banks, and additional study tools. Subscriptions are available per subject, per exam day (Day 1 or Day 2), or for all subjects.

5.3 Exam Bundles

Exam bundle subscriptions provide extended access (4 months) to all subjects at a discounted rate, ideal for comprehensive board exam preparation.

6. Payment Terms

6.1 Accepted Payment Methods

We accept payments through GCash, Maya (PayMaya), credit/debit cards (Visa, Mastercard), GrabPay, and bank transfers.

6.2 Bank Transfer Payments

Bank transfer payments require submission of proof of payment and are subject to manual verification by our team. Access is granted only after successful verification.

6.3 Refund Policy

Subscription payments may be eligible for refund within 7 days of purchase if no significant Platform usage has occurred. Contact support for refund requests.

7. CPA Board Exam Information

7.1 Exam Administration

The CPA Licensure Examination is administered by the Professional Regulation Commission (PRC) of the Philippines. This Platform is an independent review service and is not affiliated with the PRC. Examination rules, scheduling, and results are determined solely by the PRC.

7.2 No Pass Guarantee

While our Platform provides comprehensive study resources, we do not guarantee examination success. Passing the CPA board examination depends on individual preparation and performance.

7.3 Content Accuracy

We strive to provide accurate and up-to-date content based on current Philippine Financial Reporting Standards (PFRS), Philippine Accounting Standards (PAS), tax laws, and auditing standards. However, users should verify critical information against official sources and current regulations.

8. Referral Program

Users receive a unique referral code upon registration. When a referred user subscribes and completes payment, the referrer earns a commission. Commissions are processed monthly. Referral program benefits may be forfeited for violations of these Terms, including account sharing.

9. Intellectual Property

9.1 Platform Content

All content on the Platform, including study materials, questions, graphics, logos, and software, is owned by or licensed to 1Punch Inc. and IOL Inc. and is protected by intellectual property laws.

9.2 User License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial educational purposes only. This license does not include the right to:

• Reproduce, distribute, or publicly display any content
• Modify or create derivative works
• Use content for commercial purposes
• Share access with others (see Section 3.3)

10. Prohibited Conduct

You agree not to:

• Share your account credentials or allow others to access your account
• Copy, reproduce, or distribute any Platform content
• Use automated systems or bots to access the Platform
• Attempt to circumvent security measures or rate limiting
• Submit false information during registration
• Engage in any activity that disrupts or interferes with the Platform
• Use the Platform for any unlawful purpose

11. AI Tutor Usage

Our AI Tutor is powered by Claude AI and provides educational assistance. Users should be aware that:

• AI responses are generated content and may occasionally contain errors
• AI responses should be verified against official study materials and current standards
• Usage is subject to rate limits based on your subscription tier
• AI interactions may be logged for quality improvement purposes

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1PUNCH INC. AND IOL INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR EXAMINATION FAILURE.

14. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, including but not limited to account sharing. Upon termination, your right to use the Platform ceases immediately, and any remaining subscription period is forfeited.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Baguio City, Philippines.
